These Partner Terms and Conditions (the "Agreement") set forth the legally binding terms between Woxsta Technologies Inc., a company incorporated in Alberta, Canada (“Woxsta,” “we,” “our,” or “us”), and you (“Partner,” “Service Provider,” or “you”), regarding your participation in Woxsta’s platform and network as a third-party service provider.
By registering as a Partner and/or accepting service requests via the Woxsta platform, you expressly acknowledge and agree to be bound by the terms of this Agreement.
Woxsta is a technology platform that connects users (homeowners, tenants, landlords, and property managers) with independently operating service providers for home-related tasks and repairs.
This Agreement does not constitute an employment, agency, joint venture, or partnership relationship. You operate as an independent contractor.
To join as a Woxsta Partner, you must:
Be at least 18 years of age and legally entitled to work in Canada;
Hold appropriate trade licenses, certifications, and business insurance (if applicable to your service category);
Consent to a background check and identity verification;
Maintain an active Canadian bank account for payouts.
We reserve the right to accept or reject any applicant at our sole discretion.
You agree to:
Perform all services in a professional, courteous, and competent manner;
Adhere to scheduled appointments and communicate promptly with users and Woxsta if delays occur;
Provide accurate service estimates (time and cost, where applicable);
Refrain from soliciting Woxsta users for off-platform jobs or transactions;
Use appropriate tools, safety equipment, and comply with all applicable health, safety, and building codes.
Repeated complaints, misconduct, or breaches of these standards may result in account suspension or termination.
All jobs must be accepted and completed via the Woxsta platform.
Pricing for services may be fixed, hourly, or custom, depending on the job category and agreement between Woxsta and you.
Woxsta will collect payment from the user and remit the balance to you less a platform service fee (percentage or flat rate as communicated to you in writing).
Payouts are processed on a regular schedule via direct deposit, subject to confirmation of job completion and user satisfaction.
Woxsta is not responsible for:
Disputes relating to services not recorded on the platform;
Tips or off-platform arrangements.
If you are unable to attend a confirmed job, you must notify both the customer and Woxsta at least 2 hours in advance.
Repeated no-shows or last-minute cancellations may result in your removal from the platform.
You are solely responsible for the quality, outcome, and safety of the services you provide.
You are encouraged to maintain general liability insurance covering personal injury, property damage, and any claims arising from your services.
Woxsta shall not be liable for any loss, injury, or damage arising out of or in connection with services rendered by a Partner.
You agree to maintain the confidentiality of all user data and personal information accessed through the Woxsta platform.
You shall not contact users for any purpose unrelated to a scheduled or active service.
You shall not misuse, sell, or disclose user data to any third party.
Woxsta’s name, logo, and other branding elements are the exclusive intellectual property of Woxsta Technologies Inc.
You may not use Woxsta’s brand in any advertising or public communication without express written consent.
Either party may terminate this Agreement:
By Woxsta: At any time, with or without cause, upon notice to you. Grounds for immediate termination include fraud, criminal activity, repeated user complaints, or violation of this Agreement.
By You: At any time by providing written notice and ceasing to accept jobs on the platform.
Upon termination, you must return or delete all confidential materials and cease representing yourself as affiliated with Woxsta.
To the fullest extent permitted by law, Woxsta disclaims all warranties and shall not be liable for any indirect, incidental, or consequential damages arising out of or related to services performed by you or your use of the platform.
This Agreement shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Any disputes arising under or in connection with this Agreement shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to mediation or arbitration in Alberta, at Woxsta’s discretion.
Woxsta reserves the right to amend or update these Terms at any time. Notice of material changes will be provided via email or through the platform. Continued use of the platform after such notice constitutes acceptance of the updated terms.
By checking the agreement box during your onboarding process, you confirm that you have read, understood, and agreed to be bound by these Partner Terms and Conditions.
